Affiliate Program Terms

1. The Agreement

These Affiliate Program Terms (“Affiliate Terms”) are a legally binding agreement between JorgAI LLC (“JorgAI,” “we,” “us”) and you (“Affiliate,” “you”) governing your participation in the JorgAI Affiliate Program (the “Program”). By submitting an application to the Program, you accept these Affiliate Terms.

These Affiliate Terms supplement, and do not replace, the JorgAI Terms of Use, which also apply to your JorgAI account. If the two conflict on a Program matter, these Affiliate Terms control.

2. Eligibility and Enrollment

Participation requires a JorgAI account, a submitted application, and our written approval. We review every application individually and may approve or decline any application at our sole discretion, without obligation to state a reason. Until approval, your affiliate code attributes nothing and no commissions accrue.

You must be at least 18 years old and able to enter binding contracts. You must provide accurate application information, including where and how you intend to promote JorgAI, and keep it current.

3. Limited License

While you are an approved Affiliate in good standing, we grant you a limited, revocable, non-exclusive, non-transferable license to use the JorgAI name and your assigned affiliate link solely to promote JorgAI as described in your application. This license ends immediately when your participation ends. You may not register domains, social handles, or advertising accounts that impersonate JorgAI or are confusingly similar to our marks.

4. Referrals and Attribution

A “Referral” is a new JorgAI account attributed to your affiliate link. Attribution works as follows:

  • Visitors who arrive through your link are remembered for 30 days in their browser; an account created within that window is attributed to you.
  • Attribution is first-touch and permanent: the first affiliate code a visitor carries wins that account, once, forever. Accounts can be attributed to at most one affiliate.
  • If a signup also carries a friend-referral code from the separate JorgAI Referral Program, the friend referral takes precedence and no affiliate attribution occurs.
  • Your own accounts, and accounts you control, are never valid Referrals.

You may change your affiliate code from your dashboard. A code change takes effect immediately: links carrying your previous code stop attributing at that moment, and visitors who arrived through the previous code but have not yet created an account will not be attributed to you. Referrals already attributed to you are unaffected. A released code is retired permanently and will not be assigned to you or any other affiliate again.

Attribution depends on browser storage and link parameters functioning normally; we are not responsible for attribution lost to cleared browser data, blocked storage, stripped URL parameters, or similar circumstances outside our control. Our records are the authoritative record of attribution and commissions.

5. Commissions

You earn a commission of thirty percent (30%) of each subscription payment a Referral actually makes to JorgAI during the twelve (12) months following that Referral’s first paid invoice (the “Commission Window”). After a Referral’s Commission Window closes, no further commissions accrue for that Referral, including if they later resubscribe.

  • Commissionable payments are subscription-plan invoices (Starter, Pro, and Elite; monthly and yearly) that are actually paid.
  • Not commissionable: profile add-on purchases, one-time purchases, taxes and fees, payments that are refunded or charged back, and unpaid or trial invoices.
  • Commission rates are frozen at accrual time. We may change the Program’s rate or window prospectively under Section 12; changes never rewrite commissions already earned.

If a payment underlying a commission is refunded or charged back before that commission is paid out, the commission is cancelled.

6. Conditions to Payment; Audit and Withholding

Your right to receive any commission is expressly conditioned on your full compliance with these Affiliate Terms at the time the commission accrues and at the time it is paid. JorgAI has no obligation to pay, and you have no entitlement to, any commission that accrues (a) while you are in material breach of these Affiliate Terms, (b) from a Referral obtained in violation of Section 8, or (c) after your participation has been suspended or terminated. Commissions are not wages, are not earned until every condition in these Affiliate Terms is satisfied, and are the sole compensation available under the Program.

We may review and audit any Referral, attribution, commission, or promotional activity for compliance. If we reasonably suspect fraud or a breach, we may withhold associated payouts for up to sixty (60) days while we investigate. Commissions determined to arise from fraud or breach are void; commissions determined to be legitimate are released in the next payout cycle. Our records are the authoritative record for all Program determinations, and our good-faith determinations on attribution, commission calculation, and compliance are final.

If we overpay you for any reason (including calculation error, refund, or chargeback discovered after payout), you agree to repay the overpaid amount promptly on notice, and we may offset it against future payouts.

7. Payouts

Payouts are made through Stripe Connect. To be paid you must complete Stripe’s onboarding, including its identity and bank verification, and maintain a payout-enabled Stripe account. Commissions accrue before onboarding is complete, but nothing can be paid until it is.

  • Each commission becomes payable thirty (30) days after it is earned (the “Hold”), allowing refunds and chargebacks to settle.
  • Payable balances of fifty dollars ($50) or more are paid monthly, at or near the start of each calendar month. Smaller balances roll forward without expiring.
  • All amounts are in U.S. dollars.
  • You are an independent contractor, and all taxes on your commissions are your responsibility. Identity and tax information is collected and processed by Stripe; where required, tax forms (such as IRS Form 1099) will be issued based on the information you provide to Stripe. Keep it accurate.
  • Unclaimed balances: if you have a payable balance but have not completed Stripe onboarding within one hundred eighty (180) days of our written reminder, or if your participation ends and you do not complete onboarding within ninety (90) days of a written reminder sent after your participation ends, the balance is forfeited to the extent permitted by law.

You must notify us of any dispute regarding a commission statement or payout within thirty (30) days of the statement or payout date; after that, the statement is deemed accepted.

8. Your Obligations and Prohibited Conduct

8.1 Required disclosure

You must clearly and conspicuously disclose your material connection to JorgAI wherever you share your link, as required by the U.S. Federal Trade Commission’s Endorsement Guides (for example: “I earn a commission if you subscribe through my link”). The disclosure must be placed where a reader will see it before acting on your recommendation.

8.2 No financial claims

JorgAI is self-directed trading software and is not an investment adviser. You may not make or imply performance claims, promised returns, or guarantees of profit on JorgAI’s behalf; may not present JorgAI as providing investment advice; and may not publish testimonials about trading results in connection with your link. Describe the product’s workflow and features, not financial outcomes.

8.3 Prohibited conduct

  • Self-referrals, or referring accounts you own or control;
  • Bidding on “JorgAI” or confusingly similar terms in paid search, or running ads that impersonate JorgAI;
  • Coupon, deal, or discount-code sites and browser extensions that inject your code;
  • Cookie stuffing, forced clicks, iframes, or any technique that attributes visitors who did not knowingly follow your link;
  • Unsolicited bulk email, SMS, or messages in violation of CAN-SPAM, TCPA, or similar laws;
  • Promotion on or through unlawful, deceptive, hateful, or adult content;
  • Misrepresenting the Program’s terms, JorgAI’s pricing, or your relationship with JorgAI.

9. Confidentiality

Non-public information you receive through the Program, including commission rates offered to you individually, conversion statistics, unreleased features, and the contents of your affiliate dashboard, is JorgAI confidential information. You may not disclose it except as required by law, and you may not use it for any purpose other than participating in the Program. You may state publicly that you are a JorgAI affiliate and describe the Program’s published terms.

10. Suspension and Termination

We may suspend or terminate your participation at any time, with or without cause, effective on notice. You may leave the Program at any time by written notice to us. On suspension or termination, your link stops attributing signups and no new commissions accrue.

Following termination without cause, commissions already earned remain payable in the ordinary course. If your participation is terminated for fraud or material breach of Section 7, all unpaid commissions are forfeited, and we reserve all other remedies. Paid commissions arising from fraudulent Referrals are recoverable as damages.

11. Relationship of the Parties

You are an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint-venture relationship. You have no authority to bind JorgAI, make commitments on its behalf, or modify its terms with customers.

12. Changes to the Program

We may modify these Affiliate Terms or the Program’s commercial terms (including rates, windows, minimums, and eligibility) prospectively. Material changes will be communicated by email or through your affiliate dashboard, and take effect for commissions accrued after the change. Continued participation after notice constitutes acceptance. We may discontinue the Program entirely, in which case earned commissions are paid out in the ordinary course.

13. Disclaimers and Limitation of Liability

The Program is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any level of referrals, conversions, or earnings; that attribution, tracking, or the affiliate dashboard will be uninterrupted or error-free; or that the Program will continue for any period of time. Your sole remedy for an attribution or calculation error we confirm is correction of our records and payment of any resulting commission in the ordinary course.

To the maximum extent permitted by law, JorgAI’s total aggregate liability arising out of or relating to the Program, under any theory, shall not exceed the total commissions actually paid to you in the twelve (12) months preceding the event giving rise to the claim, and JorgAI shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility. These limitations are a fundamental basis of the bargain and survive termination.

14. Indemnification

You will defend, indemnify, and hold harmless JorgAI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your promotional content and activities, including any claim that they are false, misleading, or violate the FTC Endorsement Guides or any law; (b) your breach of these Affiliate Terms; (c) your violation of any law or the rights of any third party, including intellectual-property, privacy, anti-spam (CAN-SPAM), and telemarketing (TCPA) laws; (d) any representation, warranty, advice, or guarantee you make about JorgAI that JorgAI has not published; and (e) your taxes. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate.

15. Governing Law; Binding Arbitration; Class Action and Jury Trial Waiver

15.1 Informal resolution first

Before starting any formal proceeding, you agree to give us a written description of the dispute at support@jorgai.com and allow sixty (60) days for us to try to resolve it with you informally. Most Program disputes are bookkeeping questions and get fixed this way.

15.2 Binding individual arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE AFFILIATE TERMS THAT IS NOT RESOLVED INFORMALLY SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS COMMERCIAL ARBITRATION RULES, BEFORE A SINGLE ARBITRATOR, CONDUCTED IN THE STATE OF CALIFORNIA. BY AGREEING TO THESE AFFILIATE TERMS, YOU AND JORGAI EACH WAIVE THE RIGHT TO SUE IN COURT AND THE RIGHT TO A TRIAL BY JURY. The arbitrator’s award is final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party bears its own attorneys’ fees unless the arbitrator determines otherwise or these Affiliate Terms provide otherwise.

15.3 Class action waiver

ALL PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Neither you nor JorgAI may act as a class representative or class member, or otherwise participate in a class, consolidated, or representative proceeding, with respect to any Program dispute. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court rather than arbitration.

15.4 Exceptions and limitations

Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property or for fraud on the Program. Any claim arising out of or relating to the Program must be filed within one (1) year after the claim accrued, or it is permanently barred, to the extent permitted by law. These Affiliate Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and consistently with the dispute provisions of the JorgAI Terms of Use.

16. Miscellaneous

  • Entire agreement. These Affiliate Terms, together with the Terms of Use and Privacy Policy they incorporate, are the entire agreement between you and JorgAI regarding the Program and supersede all prior discussions.
  • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder stays in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Affiliate Terms or your Program participation. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except your payment-related obligations under Section 6.
  • Survival. Sections 6, 8, 9, 10, 11, 13, 14, 15, and 16 survive termination of your participation.
  • Notices. We may give notice by email to your account address or through your affiliate dashboard; notice to us goes to support@jorgai.com.
  • Electronic acceptance. Checking the acceptance box on the application has the same legal effect as a physical signature.
